Important Kirra Special Meeting - New Constitution

IMPORTANT NOTICE OF SPECIAL GENERAL MEETING

PURPOSE
This special general meeting of the Kawau Island Residents and Ratepayers Association Inc (KIRRA) is being convened to vote to rescind the present constitution of KIRRA and to adopt a new constitution for KIRRA to comply with the requirements of the Incorporated Societies Act 2022

BACKGROUND

Your Society (KIRRA) was first established as an incorporated society and registered as such, under the Incorporated Societies Act 1908, on the 1st of October 1964.
It has already been an incorporated society for a period exceeding 60 years ( i.e., Registered under the Incorporated Societies Act 1908).

In 2022 a new act came into force in New Zealand called the Incorporated Societies Act 2022. The new Act has substantially changed the nature and extent of the constitutions required of Societies, for them to be able to obtain registration as societies complying with the requirements of the Incorporated Societies Act 2022

All societies registered under the old Act now have until April 2026 to apply for, and to re-register under the Incorporated Societies Act 2022 or they will no longer be Registered as Incorporated Societies.

The requirements of the new act have required an almost complete rewrite of the existing constitution of KIRRA. However, where it has been reasonable and practicable to do so the rewrite of the constitution has incorporated existing objectives and rules.

Your committee believes that it is extremely important that KIRRA does make the changes needed to its constitution and that it reregisters as a society under the Incorporated Societies Act 2022.

The proposed new constitution that your committee seeks to have adopted at the Special General Meeting is being circulated to all members as a separate attachment to this notice.

The special general meeting is being convened specifically for the purpose of rescinding the existing Rules of KIRRA and adopting the new Rules (new constitution) as set out in the resolutions to be considered at the Special General Meeting.
